2014 Open Platform Merchant Recruitment Directions 1. Brands Internationally and domestically renowned brands The Open Platform will continue to protect sellers' brand interests to the greatest extent possible, respecting brand traditions and connotations. Flagship stores of high-quality brands are welcome to join. Please refer to "2014 Open Platform Key Brand Recruitment List". 2. Products High-quality and distinctive products that meet the needs of the user group. Product configuration based on category structure. See "2014 Open Platform Category Overview" for category planning details. 3. Vertical E-commerce The Open Platform welcomes vertical e-commerce businesses to join. The Open Platform is willing to share its high-quality user base with professional vertical e-commerce companies, and welcomes vertical e-commerce businesses to provide users with professional products and services in their respective fields.
This standard applies to all sellers on the platform's open platform, excluding virtual businesses (including but not limited to tourism, hotels, ticketing, top-ups, and lottery). Chapter 1 Onboarding 1.1 The platform's open platform has not authorized any agency to provide recruitment services. The onboarding application process and related fee information are subject to the official recruitment page of the platform's open platform. 1.2 The platform's open platform reserves the right to reject seller applications based on factors including but not limited to brand requirements, company operating status, and service level. 1.3 The platform's open platform reserves the right to require sellers to provide additional qualifications during the onboarding application and subsequent operation stages. 1.4 The platform's open platform will update the recruitment standards periodically, taking into account industry development trends, relevant national regulations, and consumer purchasing needs. 1.5 Sellers must provide accurate information and materials: 1.5.1 Sellers must ensure the authenticity, completeness, and validity of all qualifications and information provided during the application and subsequent operation phases (if the qualifications provided by the seller are from a third party, including but not limited to trademark registration certificates, authorization letters, etc., please verify the authenticity, validity, and completeness of the documents first). If any false qualifications or information are discovered, the platform will cease cooperation with the seller and has the right to take action according to the platform's rules and the relevant agreements signed with the seller; 1.5.2 Sellers should truthfully provide information about the entity operating their store and related information, including but not limited to the actual operating entity of the store and the agency operating company; 1.5.3 The platform has regulations regarding changes to seller information and materials, which will apply. However, if a seller changes the information listed in 1.5.2, they must notify the platform in writing ten days in advance. Failure to notify the platform in advance will result in action according to the platform's rules. 1.6 The platform does not currently accept applications from sole proprietorships. Sellers must be formally registered companies. Applications from companies registered outside mainland China are also temporarily not accepted. 1.7 The platform's open platform does not currently accept brand store applications from those who have not obtained a trademark registration certificate or trademark acceptance notice issued by the State Trademark Office, nor does it accept applications for purely graphic trademarks. If the seller provides a trademark acceptance notice (TM status trademark), the registration application period must be at least six months. Chapter 2 Platform Store Types and Related Requirements 2.1 Flagship Store: A store opened by the seller using their own brand (trademark in ® or TM status), or an authorization document issued by the rights holder authorizing the opening of a brand flagship store on the platform's open platform (the authorization document should clearly state exclusivity and irrevocability). 2.1.1 Flagship stores can fall into the following categories: A seller's flagship store operating a product under their own brand (trademark status ® or TM) on the platform's open platform. (A own brand refers to a brand whose trademark rights belong to the seller. Sub-brands under the own brand can be included in the flagship store, and the trademark holders of the main and sub-brands should be under the same ultimate controlling shareholder.) A seller's flagship store operating a product under a brand that has obtained explicit exclusive authorization on the platform's open platform. A flagship store opened by the trademark holder of a marketplace-type brand (service trademark). 2.1.2 The store operator must be the brand (trademark) holder or an authorized enterprise holding an exclusive authorization document issued by the holder to open a flagship store on the platform's open platform. 2.2 Exclusive stores are stores opened by sellers holding authorization documents for another brand (trademark status ® or TM) on the platform's open platform. 2.2.1 Exclusive Store Type: A seller's exclusive store that sells one or more authorized brand products (the trademark owners of multiple authorized brands should be under the same actual controller) but has not obtained exclusive authorization to enter the platform's open platform. 2.2.2 The authorization documents issued by the brand (trademark) holder should not have geographical restrictions. 2.3 Franchise Store: A store that sells two or more products under the same primary business category of the platform's open platform, either from other brands or its own brands (trademarks in ® or TM status). 2.3.1 Franchise stores can fall into the following categories: A seller's franchise store that sells two or more products under the same primary category of other brands on the platform's open platform; A seller's franchise store that sells both products under other brands and its own brands on the same primary category on the platform's open platform. 2.4 For detailed instructions on naming each type of store, please see the "Platform Open Platform Seller Store Naming Rules". Chapter 3 Platform Application and Entry Qualification Standards 3.1 For details on the platform's open platform application and entry qualification standards, please refer to the "Platform Open Platform Merchant Recruitment Qualification Standards Details". Chapter 4 Store Entry Restrictions 4.1 Brand Entry Restrictions: 4.1.1 Brands with names identical or similar to existing platform brands, channels, businesses, or categories; 4.1.2 Brands containing industry names or generic names; 4.1.3 Brands containing names of well-known figures or places; 4.1.4 Brands identical or similar to well-known brands. 4.2 Business Category Restrictions: The categories operated by sellers must comply with the relevant standards of the platform's open platform. Please refer to the "Platform Open Platform Business Category Fee Overview" for details. 4.3 Restrictions on Stores Operated by the Same Entity: 4.3.1 A single store can only correspond to one business model. Please refer to the corresponding contract signed with the seller for details of each business model; 4.3.2 If the same entity opens multiple stores, the total number of business models shall not exceed two, and a written application must be submitted to the platform 10 days in advance before launching a second business model; 4.3.3 Product overlap: The brands and products operated by different stores must not overlap. Stores approved by the platform under section 4.3.2 are not subject to this restriction. 4.4 Restrictions on the same entity re-entering the platform: 4.4.1 Entities that have been removed from the platform due to serious violations or falsification of qualifications will be permanently restricted from re-entering; 4.4.2 If a seller voluntarily withdraws twice within a calendar year, they will be restricted from re-entering for 12 months from the date of the last withdrawal. 4.5 Renewal Restrictions: Renewal applications must be submitted before 18:00 on March 1st each year, and platform usage fees must be paid before 18:00 on March 20th each year. If the fees and supporting documents for the previous and following years are not supplemented, the platform will terminate store services and remove products from the platform at 24:00 on March 31st each year. Chapter 5 Platform Open Platform Deposit/Platform Usage Fee/Fee Rate Standards 5.1 Deposit: The amount paid by the seller to the platform to guarantee the standardized operation of the store and the quality of goods and services. When a seller breaches the contract or violates regulations, the platform may deduct a corresponding amount of the deposit as liquidated damages or compensation to the buyer, according to the relevant provisions in the agreement signed with the seller and the platform open platform rules. 5.1.1 The replenishment, refund, and deduction of the deposit shall be handled in accordance with the relevant agreements signed by the seller and the platform open platform rules. 5.1.2 For details on the deposit standards for each business category on the platform open platform, please refer to the "Platform Open Platform Business Category Fee Overview". 5.2 Platform Usage Fee: A fixed technical service fee paid by sellers when using various services of the platform's open platform in accordance with the relevant agreements signed with the platform. For details on the platform usage fee standards for each business category on the platform's open platform, please refer to the "Platform Open Platform Business Category Fee Overview". Renewing sellers must pay the platform usage fee for the renewal service period in a lump sum before 18:00 on March 20th each year; newly signed sellers must pay the platform usage fee for the corresponding service period in a lump sum upon approval of their application for onboarding. 5.2.1 Platform Usage Fee Settlement: 5.2.1.1 Platform usage fees will not be refunded if the seller voluntarily requests to terminate the store's services; 5.2.1.2 Platform usage fees will not be refunded if the seller is removed due to violations or falsification of qualifications; 5.2.1.3 The platform usage fee for each store is calculated and paid based on the corresponding service period. 5.2.1.4 If the service activation date is between the 1st and 15th of each month (inclusive), a platform usage fee will be charged for the entire activation month. If the service activation date is between the 16th of each month (inclusive) and the last day of the month, no platform usage fee will be charged for the activation month. 5.2.1.4 Each store with an independent store ID constitutes one store. If a seller needs to open multiple stores based on their business operations, they must pay the corresponding platform usage fee according to the number of stores. 5.3 Fee Rate: The fee that the seller pays to the platform based on a percentage (referred to as the "Technical Service Fee Rate" or "Gross Profit Guarantee Rate" in the relevant agreement signed with the seller) for each transaction completed, according to the business category. For details on the fee standards corresponding to each business model and business category on the platform's open platform, please refer to the "Platform Open Platform Business Category Fee Overview". Chapter 6 Store Service Period 6.1 The first service period for each seller's store is from the service activation date to the earliest reaching March 31st. The second service period is from April 1st to March 31st of the following year, and so on, on a one-year cycle, unless the store or the relevant agreement signed with the seller is terminated early. 6.2 The service activation date for each seller's store is based on the time notified by the platform or recorded by the system. 6.3 Sellers should submit a renewal application to Party A 30 days before the expiration of each service period, pay the platform usage fee for the renewal service period, and submit all valid qualifications required for their operation, subject to platform review. 6.4 If the seller fails to submit a renewal application or the application fails the platform review, the platform will no longer provide any services to the seller for that store from the date the store's service period expires.
